These Terms of Service (“Terms”) govern your access to and use of the services provided by Electrosol Services (“Electrosol,” “we,” “us,” or “our”). By accessing our website, engaging our services, or entering into any agreement with us, you agree to be bound by these Terms. If you do not agree, you must not use our services.

1. Our Services

Electrosol provides the following professional IT services:

  • Software Development Solutions
  • Artificial Intelligence & Automation
  • Data Analytics & Business Intelligence
  • Cloud & Infrastructure Solutions
  • Digital Transformation
  • Communication & Business Platforms
  • Digital Marketing & Growth Solutions
  • IT Resource Augmentation

and any other related services we offer (collectively, the “Services”).

2. Eligibility

You represent that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.

3. Client Accounts and Registration

Certain Services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information and to keep it updated.

4. Client Responsibilities

You agree to:

  • Provide timely and accurate information, materials, and access needed for us to deliver the Services
  • Obtain all necessary consents and permissions for any data you provide to us
  • Comply with all applicable laws and regulations
  • Not use the Services for any unlawful purpose

5. Payment and Fees

  • You agree to pay all fees as specified in the applicable proposal, invoice, or agreement.

  • Late payments may incur interest at [1.5% per month] or the maximum rate permitted by law.
  • All fees are non-refundable unless otherwise stated in a signed agreement.

6. Intellectual Property

  • Our Pre-existing IP: We retain ownership of all our pre-existing tools, frameworks, methodologies, and intellectual property.
  • Deliverables: Upon full payment, we grant you a license to use the deliverables created specifically for you under the project.
  • Your Data: You retain ownership of your data and content. You grant us a limited license to use it solely as necessary to provide the Services.
  • AI & Automation Outputs: Any AI-generated content is provided “as-is” and may be subject to additional licensing terms.

7. Confidentiality

Both parties agree to keep confidential all non-public information disclosed during the engagement and to use it only for the purpose of the Services.

8. Warranties and Disclaimers

  • We warrant that we will perform the Services with reasonable skill and care.
  • Except as expressly stated, the Services are provided “AS IS” without any warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
  • We do not guarantee that the Services will be error-free, uninterrupted, or meet all your requirements.

9. Limitation of Liability

To the maximum extent permitted by law, Electrosol shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or business). Our total liability shall not exceed the total amount paid by you to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, and expenses arising from your breach of these Terms, your data, or your misuse of the Services.

11. Termination

  • Either party may terminate the engagement as provided in the project agreement.
  • We may suspend or terminate your access immediately for breach of these Terms or non-payment.

12. Governing Law and Dispute Resolution

13. Changes to These Terms
